Terms of Service

These Terms of Service ("Terms") govern your access to and use of the OverControl website, dashboard, APIs, models, and related services (collectively, the "Services").

By creating an account or using the Services, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.

You must be at least 18 years old to use the Services.

Using OverControl

OverControl provides access to artificial intelligence models and related infrastructure through our APIs and platform.

You may use the Services for your own applications, products, internal workflows, and other lawful purposes, subject to these Terms and any applicable usage limits.

You are responsible for your account, API keys, and all activity performed using your credentials. You must keep your credentials secure and notify us if you believe they have been compromised.

You may not use the Services to:

  • violate applicable laws or the rights of others;

  • generate or distribute illegal content;

  • develop malware or intentionally compromise systems or networks;

  • exploit, disrupt, overload, or interfere with the Services;

  • attempt to bypass security, usage limits, or access controls;

  • misrepresent your identity or use the Services fraudulently; or

  • use the Services in a way that creates a material risk of harm to OverControl, our infrastructure, or others.

We may restrict or suspend access where reasonably necessary to protect the Services, comply with law, or address violations of these Terms.

Your Content

You may provide prompts, messages, files, images, documents, data, or other inputs to the Services ("Input") and receive content generated by the Services ("Output").

Your Input remains yours. You retain any rights you have in your Input and Output.

You give OverControl only the limited rights necessary to process your Input and generate and deliver your Output.

OverControl does not use your API Content to train its models. API prompts and responses are not retained after processing and are not made available to us for later review or retrieval.

Where you intentionally use a feature designed to store content in your account, such as stored files, that content may remain available until you delete it or your account is closed, as described in our Privacy Policy.

You are responsible for ensuring that you have the rights and permissions necessary to provide any Input to the Services, including where the Input contains confidential information, personal data, or intellectual property belonging to others.

AI-Generated Output

Artificial intelligence can produce incorrect, incomplete, unexpected, or misleading results.

You are responsible for evaluating Output before relying on it or using it in your applications, products, or decisions.

You should independently verify Output where accuracy is important, particularly for legal, medical, financial, security-sensitive, or other high-impact uses.

OverControl does not guarantee that Output will always be accurate, unique, complete, or suitable for a particular purpose.

Fees and Billing

Some Services are provided on a paid or usage-based basis.

You agree to pay the fees associated with your use of the Services according to the pricing presented to you at the time of use or under a separate agreement with OverControl.

Usage charges may be calculated based on factors such as model usage, tokens, requests, compute, storage, or other applicable metrics.

Prices and usage limits may change from time to time. Changes will apply prospectively and, where appropriate, we will provide reasonable notice of material changes.

Fees are non-refundable except where required by law, where a billing error has occurred, or where otherwise agreed by OverControl.

You are responsible for applicable taxes unless the law requires us to collect them directly.

Service Availability

We work to keep the Services reliable and available, but no online service can operate without interruption.

Models, features, limits, and other parts of the Services may be added, changed, or discontinued over time.

We may temporarily restrict access for maintenance, security, infrastructure issues, legal requirements, or circumstances outside our reasonable control.

Unless a separate Service Level Agreement ("SLA") applies to your account, we do not guarantee any specific level of uptime or availability.

Intellectual Property

OverControl and its licensors retain all rights in the Services, including our software, APIs, models, website, documentation, branding, and underlying technology.

These Terms do not transfer ownership of the Services or OverControl intellectual property to you.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services during the period in which your account remains active.

You may build applications and services using the OverControl API, including commercial applications, provided that your use complies with these Terms.

Privacy and Data Protection

Our handling of personal information is described in our Privacy Policy.

OverControl is designed to minimize the retention of API Content. API prompts and model responses are processed to provide the requested response and are not retained after processing.

Where we process personal data on behalf of a business customer, additional data protection terms or a Data Processing Agreement may apply.

Suspension and Termination

You may stop using the Services at any time.

We may suspend or terminate access to the Services if you materially breach these Terms, fail to pay amounts due, create a security or legal risk, abuse the Services, or where suspension is otherwise reasonably necessary to protect OverControl or others.

Where reasonably possible, we will provide notice before terminating an account for reasons other than serious violations, security incidents, fraud, or legal requirements.

Upon termination, your right to use the Services ends. Provisions that by their nature should continue after termination, including provisions concerning intellectual property, payment obligations, disclaimers, and liability, will remain in effect.

Disclaimers

The Services are provided on an "as is" and "as available" basis.

To the fullest extent permitted by applicable law, OverControl makes no warranties, express or implied, regarding the Services, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or accuracy of AI-generated Output.

Nothing in these Terms limits any rights or warranties that cannot legally be excluded.

Limitation of Liability

To the fullest extent permitted by applicable law, OverControl will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, business opportunities, or goodwill arising from use of the Services.

To the fullest extent permitted by law, OverControl's total liability arising out of or relating to the Services will not exceed the amount you paid to OverControl for the Services during the twelve months immediately preceding the event giving rise to the claim.

These limitations do not apply to liability that cannot legally be limited or excluded.

Changes to the Services or These Terms

We may update these Terms to reflect changes to the Services, our business, or applicable law.

When we make material changes, we will update the date above and provide additional notice where required by law.

Changes will apply from the effective date of the updated Terms. If you do not agree with a material change, you may stop using the Services.
